Stockpatrol: SEC Suspends Trading in Securities of KSW Industries ...

The Securities and Exchange Commission has temporarily suspended trading in the securities of KSW Industries, Inc. (Pink Sheets: KSWJ).  The suspension, which began on April 7, 2006 will continue until 11:59 pm on April 21, 2006.

In issuing the suspension, the SEC said that questions have been raised concerning publicly disseminated information about the identity of the Company’s chief executive officer and president; and certain of  its business activities, including (i) a joint venture it purportedly entered into in or about November 2005, (ii) a letter of intent it issued in or about February 2006, and (iii) negotiations it entered into in or about March 2006 to license the KSW’s purported EM-100 process.

KSW describes itself as a “resource technology company that offers a unique EM-100 process method for non-conventional oil resources.”  The Company claims that its method “uses electromagnetic fluctuations for controlling physical-chemical processes” and that “EM-100 utilizes these electromagnetic fluctuations to change and alter the pentanes within heavy oil.”  On February 8, 2006, the Company issued a press release stating that it was “completing a letter of intent with an unidentified party for possible implementation of its EM-100 process.  On March 28, 2006, the Company issued a press release claiming that it had entered into negotiations to license the EM 100 technology.  Once again, the Company failed to disclose the other party to those negotiations.

KSW does not file public reports with the SEC and has not provided detailed information concerning its financial condition, controlling shareholders or management team.
